Introduction

This document outlines the terms and conditions governing the array of services provided by Aussie Websites.

Payment Terms and Deposits

An initial deposit, equating to 50% of the total project cost, is required to initiate work on Web Design and Development projects. The remaining balance becomes payable upon successful completion of User Acceptance Testing within a staging environment. Work commences upon receipt of the deposit, and the project code will be released once the balance is settled. Refunds on the initial deposit are only possible if work has not yet commenced and the contract is terminated without fault on our part.

Supply of Client Materials

Clients are obligated to furnish all necessary materials and data in line with agreed-upon project specifications. Any delays in supplying required materials, which subsequently delay project completion, will result in an appropriate extension of agreed deadlines. In cases where a failure to supply materials hinders work progress, partial invoicing for completed work may be issued.

Scope Adjustments and Extra Costs

Minor changes to the initial project specification are permissible. However, significant alterations will incur additional charges based on our standard hourly rate of $150.00 AUD or any special hourly rate previously agreed upon.

Timelines and Client Responsibilities

Any projected timelines are contingent on timely client cooperation. A designated point of contact must be available daily to streamline the feedback and revision processes.

Work Approval

Upon project completion, clients will have a 7-day window to review the work and notify us of any concerns. Work not flagged as unsatisfactory within this timeframe will be considered approved, and the remaining project balance will be due.

Termination and Work Rejection

If any work is rejected within the 7-day review period or subsequent revisions are not approved, and we reasonably determine that the rejection is unjust, the contract will be considered nullified. We will then undertake measures to recover payment for work completed up to that point.

Invoicing and Final Payments

Upon the lapse of the 7-day review period, a final invoice will be issued for any outstanding balance before making the website live.

Intellectual Property Warranties

Clients must secure all required permissions for the use of copyrighted or trademarked materials supplied to us for incorporation into the project. Clients shall indemnify and hold Aussie Websites harmless from any legal actions or claims related to website content.

Licensing

Upon final payment, a license will be granted to clients to use the website, its software, and its contents for the duration of the website's lifespan.

Search Engine Placement

While we employ best practices in code structuring for search engine optimisation, we cannot guarantee specific search engine rankings. Advanced SEO services are available upon request.

Limitation of Liability

We are not liable for any loss or damage caused by project delays, regardless of the reason for the delay.

Legal Disclaimer

Unless expressly stated in this document, all terms, conditions, warranties, or undertakings are excluded to the fullest extent permissible by law. Any liability on our part is limited to the replacement or repair of the services contracted.

Subcontracting Clause

We reserve the right to subcontract services as deemed necessary, particularly in relation to third-party plugin or extension support.

Confidentiality

Both Aussie Websites and any subcontractors engaged will not disclose any confidential client information.

Additional Expenditures

Clients shall reimburse Aussie Websites for any expenses not covered in the initial proposal, such as extra design or coding services, third-party software, or other comparable costs.

Data Backup

While we routinely back up work in progress, clients are responsible for maintaining their own website backups. We are not liable for data loss unless it results from our negligence.

Domain and Hosting Ownership

Credentials for domain names and web hosting purchased on behalf of clients will be supplied upon reimbursement of incurred expenses.

Software Versions

Projects will be developed on the latest stable version of the chosen application unless specified otherwise. Upgrades to newer versions released post-project commencement may incur additional costs.


In addition to these general terms, we also have specific terms and conditions that apply to our various services like Website Maintenance, Website Performance, Google Ads, SEO, and Social Media Marketing. These will be detailed in separate sections following the general terms and conditions.

Specific Service Terms and Conditions

Website Maintenance
  1. Subscription Plans: Maintenance packages are available on a monthly or yearly subscription basis. The specific features of each package will be outlined in the package description on our website.

  2. Cancellation: Cancellation requests must be submitted in writing 30 days prior to the next billing cycle.

  3. Limitations: Maintenance packages do not cover major redesigns or overhauls.

Website Performance
  1. Performance Assessment: A preliminary performance audit will be conducted. The results will inform the scope of work needed to improve site speed and usability.

  2. Implementation: Aussie Websites will implement code-level changes, image optimisations, and other performance enhancements as agreed upon.

  3. Post-Implementation Testing: Another performance audit will be conducted to gauge the impact of implemented changes.

Google Ads Management
  1. Ad Spend: Client budgets for Google Ads will be agreed upon separately and are not part of Aussie Websites' service fees.

  2. Account Access: Clients will provide full access to Google Ads accounts for the duration of the campaign.

  3. Data Ownership: All ad campaign data and insights remain the intellectual property of the client.

Search Engine Optimisation (SEO)
  1. SEO Audit: An initial SEO audit will identify areas for optimisation.

  2. Keyword Strategy: A tailored keyword strategy will be developed and shared with the client for approval.

  3. Monthly Reporting: Comprehensive monthly reports will be provided, tracking key performance indicators.

Social Media Marketing
  1. Content Planning: A monthly content calendar will be developed in consultation with the client.

  2. Platform Management: Aussie Websites will manage client profiles across various social media platforms, as agreed upon.

  3. Community Engagement: This includes responding to comments, messages, and general upkeep of the social media community, within the scope defined by the client.


Additional Provisions

Force Majeure

Neither party shall be liable for delays or failure in performance resulting from acts beyond their control, such as natural disasters, strikes, or government actions.

Amendments

Any changes to this agreement must be made in writing and signed by both parties.

Governing Law

This agreement is governed by the laws of the state of New South Wales and both parties agree to submit to the jurisdiction of the NSW courts.

Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all previous agreements and understandings between the parties.
